We, the undersigned, wishing to secure for ourselves the pleasure and benefits of association of persons commonly interested in computers, constitute ourselves the Tri-County Computer Club (known as The Club) and enact this constitution as our governing law. It shall be our purpose to further exchange of information and cooperation between members, to promote computer knowledge, fraternalism and individual operation efficiency, and to so conduct Club programs and activities as to advance the general interest and welfare of Computers in the community.
All persons interested in computers shall be eligible for membership. Persons joining the club must abide by this Constitution, by-laws, and by any other rules the club sets. Benefits of membership include an e-mail copy of the club's newsletter (copies can be sent by mail if member doesn't have e-mail or web access), and club notices. Also included are voting rights, and a listing on the club's membership roster on the web site.
Section 1-
This Club shall have an executive committee consisting of
the President, Vice-President, Secretary, Treasurer. Additional officers
are the Program Chairman and a Newsletter Editor. The
Secretary and Treasurer may be combined into one position based on membership
size.
Section 2-
The officers this Club (except for the Editor) shall be elected
for a term of one year by a ballot vote at the December meeting. Any officer
may succeed him/herself in office, if elected by the membership or if he/she
is running unopposed. The term for President, Vice-president, Secretary
and Treasurer shall not exceed two consecutive years. Members must be a
paid up member of the club, one-year before being eligible to hold an office.
Section 3-
Vacancies occurring between elections must be filled by special
elections at the first regular meeting following the withdrawal or resignation.
Section 4-
Officers may be removed by two-thirds vote of the members
present.
Section 1-
The President shall preside at all meetings of this Club,
and conduct the same according to the rules adopted. Enforce due observance
of this Constitution and by-law's; decide all questions of order; sign
all official documents that are adopted by the Club, and none other, and
perform all other customary duties pertaining to the office of president.
Section 2-
The Vice-president shall assume all the duties of the President
in his absence. The Vice-president may also take over the duties of another
office in the absence of the office's holder. The Vice President will also
serve as a Program Chairman co-chair.
Section 3-
The Secretary shall keep a record of the proceedings of all
meetings, keep a roll of members, carry on all correspondence, and read
communications at each meeting. The secretary must maintain a copy of this
Constitution, Club by-law's and Robert's Rules of Order. The secretary
will send a copy of the meeting minutes and membership attendance to the
president and to the newsletter editor, for inclusion in the next club
newsletter. At the end of his/her term, turn over all items belonging to
the Club to his/her successor.
Section 4-
The Treasurer shall receive and receipt all money paid to
the Club, keep an accurate account of any cash flow, pay bills only if
authorized by the club body or the President and at least one other officer,
and shall create an itemized statement of disbursements and receipts for
distribution to the membership at the end of the year. The treasurer must
notify the newsletter editor of any new members. At the expiration of his/her
term, turn over all items belonging to the Club to his/her successor.
Section 5-
Repealed at substitute 1999 Annual Business Meeting on February 9, 1999. Section dealt with the club software library.
Section 6-
The Program Chairman shall develop a program following the
preamble guidelines for presentation to the membership at each meeting.
Section 7-
The Newsletter Editor shall publish a monthly newsletter
containing, at a minimum, a listing of the club officers, the next meeting
date and any other information pertinent to club members. This position
is a volunteer position and is not voted on.
The by-laws shall provide for regular and special meetings. At meetings, a minimum of five (5) dues-paying members and two (2) officers shall constitute a quorum for the transaction of business. An annual business meeting shall be conducted during the January meeting.
The Club, by two-thirds vote of those present at the Annual Business Meeting, may levy upon the general membership such dues as shall be deemed necessary for the business of the organization, within its objects as set forth in the preamble. Non-payment of such dues shall be cause for expulsion from the Club within the discretion of the membership.
Section 1-
The Club shall hold a "Question and Answer" session at each
meeting. Members will be permitted to state any computer-related question
that they may have, and another member can provide an answer, any suggestions,
or a place where they might be able to find an answer.
Section 2-
The Club shall maintain a program to foster and guide public
relations.
Section 1-
This Constitution may be amended by a two-thirds vote of
those members present at the Annual Business Meeting. Proposals for amendments
shall be submitted in writing to the President, at least one regular meeting
before and shall be voted on at the Annual Business Meeting.
Section 2-
The by-laws may be amended by a two-thirds vote, by submitting
a proposal to the President prior to any regular meeting, and may be voted
at the meeting as long as there is a quorum.
Section 3-
The Club membership dues can only be changed at the Annual
Business Meeting.
Robert's Rules shall govern proceeding where not in conflict with the Constitution and or by-laws.
A member to be permitted to vote must have all dues paid in full.
Section 1-
The Club shall have the privilege of owning property, both
real and personal, and the right to buy and sell said property in the Club
name.
Section 2-
Any purchase or acceptance of Club property must have the
approval of the general membership.
Section 3-
Any transaction involving the sale of Club property shall
have the approval of the general membership.

1. SECRETARY
It shall be the duty of the Secretary to keep the constitution
and by-laws of the Club and have the same at every meeting. The secretary
shall cause all amendments, changes, and additions to be noted thereon
and shall permit the same to be consulted by embers upon request.
2. TREASURER
The Club treasurer shall maintain a minimum cash fund of
$25 for unforeseen club expenses. Disbursements must be brought before
the membership and be approved at the next scheduled meeting, by the membership.
3. MEMBERSHIP
Each applicant must express a willingness to abide by the
Constitution and by-laws and other rules promulgated by the Club.
4. MEETINGS
Regular meetings shall be held at times and locations designated
by the general membership.
5. DUES
Annual dues, assessed each year, as of the January meeting,
shall be $15.00 per member family. If the member family joins after January,
membership dues are $1.25 per month remaining in the calendar year, including
the current month. The assessment is due by the first regularly scheduled
meeting during January of the new year to retain voting member privileges,
and to receive meeting information.
6. NOMINATING COMMITTEE
The President will appoint a committee of 3 - 5 members during
the November meeting to present a suggested slate of new officers at the
December meeting. Additional nominations may be taken from the floor.
7. MEMBERSHIP EXPLUSION
A member may be expelled from membership in the Club in the
following manner.
1. Proposed expulsion of a member shall be brought to the Executive Committee before being openly discussed at a regular or special meeting and the reason for expulsion explained.
2. The president shall notify the affected member at least seven days in advance of the next regular scheduled meeting, at which time a vote of the members will be taken.
